1. Acceptance of Terms

By accessing or using Appfiliate ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Description of Service

Appfiliate is a link attribution platform for mobile apps. We provide tracking links, install attribution, analytics, and related tools to help you understand where your app installs come from. The Service includes the website at appfiliate.io, the dashboard at app.appfiliate.io, the Appfiliate SDK, and associated APIs.

3. Eligibility

You must be at least 18 years old to use Appfiliate. By creating an account, you represent that you meet this age requirement and have the legal capacity to enter into a binding agreement.

4. Accounts

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and API keys. You are responsible for all activity that occurs under your account.

You must notify us immediately at support@appfiliate.io if you become aware of any unauthorized access to your account.

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws
Generate fraudulent clicks, installs, or attribution data
Attempt to access other users' accounts, data, or systems
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
Use the Service to distribute malware, spam, or other harmful content
Scrape, harvest, or collect data from the Service through automated means
Circumvent or attempt to circumvent plan limits, rate limits, or security measures
Resell, sublicense, or redistribute access to the Service without written permission
Use the Service in a way that could damage, disable, or impair its operation
Impersonate any person or entity, or misrepresent your affiliation with any person or entity

6. Plans and Payment

Appfiliate offers free and paid plans. Paid subscriptions are billed monthly through Stripe. You can upgrade, downgrade, or cancel at any time through the Settings page or Stripe Customer Portal.

When you cancel a paid plan, you retain access to paid features until the end of your current billing period. After that, your account reverts to the free plan and usage exceeding free plan limits may be restricted.

We reserve the right to change pricing with at least 30 days' notice. Price changes do not affect your current billing period. If you do not agree with a price change, you may cancel before the new price takes effect.

All fees are non-refundable except where required by applicable law.

7. Intellectual Property

The Service, including its software, design, documentation, branding, and all related intellectual property, is owned by Appfiliate. These terms do not grant you any ownership rights in the Service.

If you provide feedback, suggestions, or ideas about the Service, you grant us a non-exclusive, royalty-free, perpetual license to use, modify, and incorporate that feedback into the Service without obligation to you.

8. Your Data and Ownership

You retain ownership of all data you upload to Appfiliate (app information, tracking configurations, etc.). We do not claim ownership of your data. We process your data solely to provide the Service.

Attribution data (clicks, installs, purchase events) generated through the Service is stored on your behalf and accessible through your dashboard. You may export your data at any time.

9. SDK and Third-Party Components

The Appfiliate SDK is provided for integration into your mobile applications. You are responsible for ensuring that your use of the SDK complies with applicable app store guidelines (Apple App Store, Google Play Store) and privacy regulations.

The Service may include open-source or third-party software components, which are subject to their own license terms. Those license terms take precedence over these Terms of Service with respect to those components.

10. Third-Party Links and Services

The Service may contain links to third-party websites or integrate with third-party services (e.g. RevenueCat, Stripe, Superwall). We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is governed by their respective terms and policies.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted or error-free service. We may perform scheduled maintenance with reasonable notice. We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We are not liable for downtime caused by factors outside our control.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory. We disclaim all warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will meet your requirements, be accurate, or be free of errors or interruptions.

13. Limitation of Liability

To the maximum extent permitted by law, Appfiliate shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of the Service. Our total aggregate liability for any claim arising from or relating to these terms or the Service is limited to the amounts you paid us in the 12 months preceding the event giving rise to the claim, or $100, whichever is greater.

14. Indemnification

You agree to indemnify, defend, and hold harmless Appfiliate and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these terms; (c) your violation of any third-party rights; or (d) your content or data submitted through the Service.

15. Termination

We may suspend or terminate your account immediately if you violate these terms, engage in fraudulent activity, or if required by law. We may also terminate your account with 30 days' notice for any other reason.

You may terminate your account at any time through the Settings page or by contacting us. Upon termination, your right to use the Service ceases immediately, and your data will be deleted within 30 days.

16. Changes to Terms

We may update these terms from time to time. For material changes, we will notify you by email at least 30 days before the changes take effect. Non-material changes take effect upon posting. If you do not agree to the updated terms, you must stop using the Service before they take effect. Continued use after changes constitutes acceptance.

17. Governing Law

These terms are governed by the laws of New Zealand, without regard to conflict of law principles. Any disputes arising from these terms or the Service will be resolved exclusively in the courts of New Zealand. You consent to the personal jurisdiction of such courts.

18. General

If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any right or provision does not constitute a waiver of that right. These terms constitute the entire agreement between you and Appfiliate regarding the Service. We may assign our rights and obligations under these terms without your consent. You may not assign your rights without our written consent.
